1. General provisions

These Terms of Service (hereinafter — the "Agreement") govern the use of the MulenPay website (hereinafter — the "Website") and the services provided by RBY Commerce Ltd. (hereinafter — the "Company").

By using the Website, the User confirms that the User has reviewed the terms of this Agreement, understands them, and accepts them in full.

If the User does not agree with the terms of the Agreement, the User must cease using the Website.

2. Terms and definitions

Website — the MulenPay online resource, including all of its pages, services, and software.

User — any natural person or legal entity using the Website.

Services — the software, informational, technical, and other services provided through the Website.

Account — the User account created to access certain features of the Website.

3. Subject of the agreement

The Company provides the User with access to the functionality of the Website and the related services under the terms of this Agreement.

The Company is entitled to change the list of services, the functional capabilities, and the terms of use of the Website without prior notice to the User.

4. Registration and account

To access certain features of the Website, the User may complete registration.

The User undertakes to:

  • provide accurate information;
  • keep the provided data up to date;
  • ensure the safekeeping of the login credentials;
  • not grant access to the account to third parties.

The User is responsible for all actions performed using the User account.

5. Rights and obligations of the user

The User has the right to:

  • use the Website in accordance with its intended purpose;
  • receive information about the services provided;
  • contact the support service.

The User undertakes to:

  • comply with the requirements of the applicable law;
  • not use the Website for unlawful activity;
  • not disrupt the operation of the Website;
  • not attempt unauthorized access to the Company systems;
  • not distribute malicious software;
  • not use the Website for fraudulent activity.

6. Rights and obligations of the company

The Company is entitled to:

  • change the functionality of the Website;
  • restrict or terminate the User access in the event of a breach of the terms of the Agreement;
  • carry out technical maintenance;
  • request additional information to ensure security and compliance with the law.

The Company undertakes to take reasonable measures to ensure the operability of the Website.

7. Payment services

MulenPay provides software and technological solutions for processing payment information and interacting with payment partners.

The Company:

  • is not a bank;
  • does not accept deposits;
  • does not provide electronic wallets;
  • does not hold the funds of Users;
  • does not issue electronic money;
  • does not act as a payment aggregator.

The acceptance and processing of payments are carried out by licensed payment institutions, banks, and other partners of the Company.

The relationship between the User and the relevant payment partner is governed by the separate agreements of such partner.

8. Intellectual property

All rights to the Website, the software, the design, the logos, the texts, the images, and other materials belong to the Company or are used on lawful grounds.

The User is prohibited from:

  • copying the materials of the Website;
  • distributing the materials without the permission of the Company;
  • modifying the program code of the Website;
  • using elements of the Website for commercial purposes without the written consent of the Company.

9. Limitation of liability

The Website is provided on an "As Is" basis.

The Company does not guarantee:

  • the uninterrupted operation of the Website;
  • the absence of errors;
  • the conformity of the services to the expectations of the User;
  • the absence of technical failures caused by third parties.

The Company is not liable for:

  • the actions of payment partners;
  • losses arising from the use of the Website;
  • interruptions in the operation of communication networks;
  • the actions of third parties;
  • circumstances of force majeure.

The maximum liability of the Company is limited to the amount of funds actually paid by the User for the services of the Company over the last 12 months.

10. Suspension and termination of access

The Company is entitled to immediately restrict or terminate the User access to the Website in the event of:

  • a breach of this Agreement;
  • the provision of inaccurate information;
  • the detection of signs of fraud;
  • the requirements of the law or the competent authorities.

11. Confidentiality

The processing of personal data is carried out in accordance with the Privacy Policy published on the Website.

By using the Website, the User confirms that the User has reviewed the Privacy Policy and agrees to its terms.

12. Force majeure

The Company is not liable for the failure to perform its obligations due to circumstances of force majeure, including:

  • natural disasters;
  • military actions;
  • acts of terrorism;
  • actions of state authorities;
  • failures of telecommunication networks;
  • power supply outages;
  • cyberattacks and other events beyond the reasonable control of the Company.

13. Applicable law

This Agreement is governed by the law of the Commonwealth of Dominica, to the extent that it does not contradict the mandatory norms of international law.

All disputes are subject to resolution through negotiations.

If it is impossible to reach an agreement, the dispute is referred for consideration to the competent court at the place of registration of the Company.

14. Amendment of the agreement

The Company is entitled to amend this Agreement at any time.

The new version takes effect upon publication on the Website, unless otherwise provided by the updated version of the document.

Continued use of the Website after the publication of the changes constitutes the consent of the User to the new version of the Agreement.
